Trificient Digital LLC – Limited-Use End-User License Agreement (Private Deployment)

This End-User License Agreement (“Agreement”) is entered into by and between Trificient Digital LLC, a Colorado limited liability company (“Trificient Digital”, “TD”, “we”, or “us”), and you, the authorized client entity (“Client” or “You”), regarding your use of a custom backend software service provided by TD (the “Service”).

This Agreement applies solely to the Service as deployed by TD on your behalf and for your exclusive use. By using the Service, you agree to the terms of this Agreement.


License Grant

Trificient Digital grants you a limited, non-exclusive, non-transferable license to access and use the Service strictly for your internal business purposes. This license is valid only for the specific instance deployed for your use and is not transferrable to any third party


Scope and Limitations

You agree that:

  • The Service is designed for your specific use case and holds no general utility for other parties.

  • You may not share access to the Service or reuse it outside the agreed context.

  • You may not copy, distribute, reverse engineer, or modify the Service.

  • TD retains full administrative control over the underlying infrastructure (e.g., Azure).

Ownership

All intellectual property rights in and to the Service remain the exclusive property of Trificient Digital. You acquire no ownership rights through this Agreement.


Confidentiality

The existence, functionality, and configuration of the Service are considered confidential. You agree not to disclose or replicate any part of the Service’s logic, API, or workflow to third parties.


Service-Specific Disclaimer

This Service is provided “as is” and is intended solely for use in conjunction with your authorized QuickBooks Online company account. Trificient Digital disclaims all warranties, including fitness for general or third-party use.


Limitation of Liability

TD will not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the use of the Service. Total liability under this Agreement will be limited to the amount paid for the Service, if any.


Termination

Either party may terminate this Agreement with written notice. Upon termination, your access to the Service will be revoked, and you agree to cease all use of it.


Governing Law

This Agreement is governed by the laws of the State of Colorado, without regard to conflict-of-law principles.
